Terms of Service

1. Acceptance of Terms

By installing, accessing, or using SupplySync ("the App", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the App.

These Terms constitute a legally binding agreement between you ("Merchant", "you", or "your") and SupplySync regarding your use of our Shopify application.

2. Description of Service

SupplySync is a Shopify application that provides:

• Automatic order routing to suppliers based on configurable rules
• A dedicated supplier portal for order fulfillment
• Tracking information submission and synchronization with Shopify
• Email notifications to suppliers for new orders
• Activity logging and audit trails

3. Account and Registration

To use SupplySync, you must:

• Have a valid Shopify store account
• Install the App through the Shopify App Store
• Grant the necessary permissions for the App to function
• Provide accurate and complete information

You are responsible for maintaining the security of your account and any activities that occur under your account.

4. Subscription and Billing

4.1 Pricing Plans

SupplySync offers multiple subscription plans with different features and limitations. Current pricing and plan details are available within the App and on the Shopify App Store listing.

4.2 Billing

All billing is processed through Shopify's billing system. By subscribing to a paid plan, you authorize Shopify to charge your payment method on file.

4.3 Refunds

Refund requests are handled in accordance with Shopify's refund policies. Contact our support team for refund inquiries.

4.4 Plan Changes

You may upgrade or downgrade your plan at any time. Changes take effect at the start of your next billing cycle.

5. Supplier Portal Access

The supplier portal is accessed via unique, token-based URLs. You are responsible for:

• Sharing portal access links only with authorized suppliers
• Regenerating tokens if you suspect unauthorized access
• Ensuring suppliers understand their responsibilities when using the portal

6. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App's functionality
• Reverse engineer, decompile, or disassemble the App
• Use the App to transmit harmful code or malware
• Exceed rate limits or abuse API access
• Share your account credentials with unauthorized parties

7. Data and Privacy

Your use of SupplySync is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

You acknowledge that:

• We access your Shopify store data as necessary to provide our services
• Order information is shared with suppliers you configure in the App
• You are responsible for ensuring your use of the App complies with applicable data protection laws

8. Intellectual Property

SupplySync and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

You retain all rights to your store data. By using the App, you grant us a limited license to access and process your data solely for the purpose of providing our services.

9. Third-Party Services

SupplySync integrates with Shopify and may interact with other third-party services. We are not responsible for:

• The availability or functionality of Shopify or other third-party services
• Any issues arising from changes to Shopify's APIs or policies
• Third-party service outages or data loss

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation

We do not warrant that the App will meet your specific requirements or that any errors will be corrected.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPPLYSYNC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages arising from your use or inability to use the App
• Any third-party claims against you

Our total liability shall not exceed the amount you paid for the App in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless SupplySync and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Your supplier relationships and fulfillment activities

13. Termination

13.1 By You

You may uninstall the App at any time through your Shopify admin. Upon uninstallation, your subscription will be cancelled.

13.2 By Us

We may suspend or terminate your access to the App at any time, with or without cause, including for:

• Violation of these Terms
• Non-payment of subscription fees
• Fraudulent or illegal activity
• Extended inactivity

13.3 Effect of Termination

Upon termination, your right to use the App ceases immediately. We will delete your data in accordance with our Privacy Policy.

14. Modifications to Service

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on this page
• Updating the "Last updated" date
• Sending an email notification for significant changes

Your continued use of the App after changes become effective constitutes acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SupplySync operates, without regard to conflict of law principles.

17. Dispute Resolution

Any disputes arising from these Terms or your use of the App shall be resolved through:

1. Informal Negotiation: Contact us first to attempt to resolve the dispute informally
2. Mediation: If informal resolution fails, parties agree to attempt mediation
3. Arbitration or Court: As a last resort, disputes may be resolved through binding arbitration or court proceedings

18. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SupplySync regarding your use of the App and supersede any prior agreements.
